Management of Legal Entities

Directors, trustees and board members for your entities.

Ongoing governance for companies and family structures

A legal entity needs attention after incorporation: decisions must be authorized, records maintained and responsibilities allocated. ZL Attorneys assists with the management of local and foreign entities connected to Curaçao, Sint Maarten and Aruba, subject to the requirements of the particular structure and jurisdiction.

Our work includes appointments as managing director, trustee, liquidator, board member or supervisory board member. These roles are different. The governing documents, scope of the appointment, conflicts and any applicable regulatory requirements must be assessed before a role is accepted.

Agree who does what

Good management starts with a clear division of responsibilities between owners, directors, administrators, accountants and other advisers. We help address:

  • Who can approve and sign transactions, and which decisions require shareholder or board approval.
  • How meetings, resolutions and changes in ownership or management are documented.
  • Who maintains the accounting records and coordinates filings and tax advice.
  • How conflicts of interest, related-party dealings and reporting to stakeholders are handled.
  • What happens if a director leaves, a shareholder dies or the entity stops trading.

A management appointment does not automatically include bookkeeping, a registered office, tax filing or banking services. Those responsibilities should be confirmed in the engagement and service arrangements.

Records and changes in Curaçao

The Curaçao Chamber of Commerce registry search helps identify registered entities and obtain registry information. Compare the current registration with the deed, articles and internal records when preparing a change of directors or signing authority.

The official investment agency's overview of legal forms is a starting point for company structures. The actual governance requirements depend on the entity and its activities; a company, private foundation and trust arrangement should not be treated as interchangeable.

Private foundations and succession

For a family structure, management should reflect the deed, the board's powers and the intended administration of assets. Explain which family members and countries are involved, and whether there are existing commitments or disputes. We connect governance work with private foundation advice and inheritance matters where appropriate.

No structure should be selected on an assumption of guaranteed tax savings or protection from every creditor. Tax consequences and cross-border succession questions require separate assessment.

When a business changes or closes

A sale, reorganization or closure can affect signing authority, contracts, employees and creditors. Before distributing assets or ending operations, identify outstanding obligations and the procedure appropriate to the entity's position. A solvent closure and bankruptcy are different situations.

What to prepare

For an initial meeting, prepare the incorporation deed and articles, recent registry information, ownership and board details, existing management agreements and a list of the decisions or problems requiring attention. Include the countries where the entity operates, holds assets or has tax advisers, and any upcoming deadlines.

Questions clients ask

Can you take over management of an existing entity?

We can assess an existing structure. The records, obligations, proposed role and due-diligence requirements must be reviewed before an appointment is accepted. Tell us why management is changing and whether there is a dispute.

Does appointing a director resolve all compliance requirements?

No. Responsibilities for permits, records, filings and regulated activities still need to be identified and fulfilled. The engagement should state which tasks the firm will undertake and which remain with the client or other advisers.

Should I form a new company first?

Start with the purpose and current arrangements. Incorporation may be appropriate, but an existing entity or a change to its governance may also need consideration. Contact us with an outline of the structure and the help required.
