Curaçao vs BVI vs Cayman: Company Formation Compared
Curaçao, BVI and Cayman serve different needs. A business with premises and staff in Curaçao should assess its local operating requirements first. An international holding company or investment fund needs a comparison of the proposed vehicle, investors, management and applicable regulation. A headline tax rate alone cannot settle the choice.
ZL Attorneys advises on the Curaçao aspects of company formation and international structures. BVI and Cayman implementation requires advice from appropriately qualified advisers there. The observations below are a starting point for that joint assessment, not a recommendation for every business.
Company structures and administration compared
On a small screen, scroll the table sideways to compare all three jurisdictions.
| Question | Curaçao | British Virgin Islands | Cayman Islands |
|---|---|---|---|
| Which vehicle is being compared? | A B.V. or N.V.; the legal form is distinct from its use as a holding or operating company. CINEX overview. | A company under the BVI Business Companies Act, with a licensed registered agent. FSC legislation. | An exempted company, intended mainly for activities outside Cayman. Other vehicles have different features. Registry guidance. |
| What recurring administration should be budgeted? | Accounting, company records and applicable tax returns. Tax Administration guidance. | Registered-agent services and applicable annual financial-return obligations, subject to exemptions. FSC annual-return explanation. | An annual return and registry fees for the exempted company; regulated activities bring additional requirements. Registry overview. |
| What about economic substance? | Assess where activities, management and relevant costs actually occur; territorial tax treatment is fact-dependent. | Classify the entity and its activities under the BVI economic-substance regime. ITA rules. | Determine whether the entity and activity fall within the economic-substance regime and its reporting requirements. DITC guidance. |
A registered office and real business operations are different things. For each proposed structure, identify who will make decisions, perform the work and maintain records. The substance analysis should follow the actual activity rather than a label chosen for the company.
How does the tax treatment differ?
Curaçao has a profit-tax system. Its Tax Administration describes a general rate of 15% on the first Cg 500,000 of taxable profit and 22% on the excess, alongside particular regimes and territorial rules. The amount subject to tax requires separate assessment. An old advertised offshore or e-zone percentage is not a reliable quotation for a new company. See the official profit-tax explanation (Dutch).
BVI company legislation provides local tax exemptions. Section 242 of the BVI Business Companies Act published by the FSC addresses income-tax and other exemptions, with exceptions including certain land-related stamp duties. Read it together with the FSC's amendments and current legislation. This does not eliminate annual fees, other applicable local obligations or tax in another country.
Cayman uses an indirect taxation model. Its government explains that revenue is raised through duties and fees rather than an additional layer of Cayman tax on pooled investment returns. See the Ministry of Financial Services' taxation explanation.
For all three, assess owners' residence, where the company is managed, income sources, distributions and any applicable foreign tax or reporting rules. Local tax neutrality does not mean that owners or the overall group pay no tax. Any treaty benefit also needs its own eligibility assessment.
Are the owners anonymous?
Do not select a jurisdiction on that assumption. BVI introduced registry filing of beneficial-ownership information from January 2025, as explained in the FSC's implementation circular. Cayman also requires beneficial-ownership information to be maintained and filed: see its official registry guidance.
For a Curaçao proposal, establish the ownership information required by the notary, company administrator, relevant authorities and proposed bank. In every case, distinguish access by the public from disclosure to regulated service providers or authorities. A non-public document does not make a structure anonymous.
Which deserves closer consideration for your business?
These are practical starting points drawn from the differences above, not jurisdiction rankings:
- A business operating in Curaçao: examine a Curaçao operating structure alongside local premises, workforce, permits and contracts. A foreign holding company would not replace that analysis.
- An international holding arrangement: compare the governance, registered-agent or administration services, tax position and full annual cost of each shortlisted vehicle. BVI is an option to assess, not an automatic answer based on local exemptions.
- A pooled investment structure: include specialist Cayman fund advice in the comparison. CIMA sets out recognized fund vehicles and regulation and separate reporting requirements. Incorporating a company is not the same as meeting fund regulation.
Banking, costs and timing
None of these structures guarantees a bank account. Before committing, discuss the activity, ownership, source of funds, currencies and expected transactions with the proposed institution. Avoid choosing on the assumption that banks always accept one jurisdiction and reject another.
Request a like-for-like budget covering incorporation, legal and tax advice, registered office or agent, directors or management, accounting, filings, licences and eventual closure. A simple formation quote will not capture all those costs. The timetable must also allow for due diligence and third-party decisions.
Prepare a meaningful comparison
Bring a short business plan, ownership chart, owners' tax residences, proposed management location, expected income types and banking needs. Identify any investor requirement for a particular vehicle and any regulated activity.
