Bankruptcy Law
Practical insolvency advice for businesses, directors and creditors in Curaçao.
When debts threaten the business—or your recovery
Unpaid invoices and cash-flow problems raise different questions for a creditor and a company director. A creditor needs to assess whether money can be recovered. A director needs to understand the company's position, preserve records and consider the consequences of the next payment or transaction.
ZL Attorneys advises on insolvency disputes alongside corporate law, commercial litigation and asset attachment. We begin with the finances, the parties involved and any urgent court or payment deadline.
Bankruptcy proceedings in Curaçao
Curaçao has its own insolvency procedure. Bankruptcy is a court process involving administration of the estate by a curator, the court-appointed insolvency administrator, under judicial supervision. The Joint Court's bankruptcy guidelines explain the curator's work and administration of proceedings. The outcome for creditors depends on the assets available, costs and the treatment of their claims.
A company's application for its own bankruptcy goes to the Gerecht in eerste aanleg, the Court of First Instance. The official Curaçao application form asks for financial and corporate records, including assets and liabilities, articles, a trade-register extract, the shareholder register and the decision authorizing the application.
A business closure, a negotiated restructuring and a bankruptcy are different routes. Before choosing one, establish whether the company can meet its obligations and whether a workable agreement is possible.
If your company cannot pay
Prepare an up-to-date cash-flow forecast, a creditor list and an asset schedule. Identify wages, taxes, secured borrowing, disputed debts and personal guarantees separately. Tell us about threatened enforcement and any transfers to owners or connected businesses.
We can assess the legal options, discuss negotiations with creditors and advise on the implications of continuing or stopping operations. Where appropriate, we consider whether a suspension-of-payment procedure, known as surseance van betaling, may be relevant. The court publishes Curaçao application forms and procedural information. Eligibility and usefulness must be assessed; it is not an automatic rescue or debt cancellation.
If you are owed money
Bring the contract, invoices, proof of delivery or performance, payment reminders and any acknowledgment or dispute of the debt. Identify security, guarantees or ownership claims over goods.
Before proceedings, we assess the strength of the claim, the debtor's position, likely costs and realistic recovery options. If bankruptcy has already been declared, identify the curator and obtain the instructions for submitting a supported claim. A claim's amount and its priority are separate questions; neither should be assumed from the invoice alone.
Questions clients ask
Does bankruptcy remove all debts?
Do not assume that it does. The consequences differ for companies, individuals and guarantors. Any remaining liability or possible settlement must be assessed under the applicable law and documents.
Can a director be personally responsible?
A company's debts and a director's personal obligations require separate assessment. Tell us about guarantees, the company's records and disputed management decisions. We do not infer personal liability simply because a business has failed.
Should I file for bankruptcy to collect an invoice?
A bankruptcy application is a serious insolvency step, not a routine collection letter. We first assess whether it is legally available and proportionate, whether the debt is disputed and whether another recovery route is more suitable.
What if assets or creditors are abroad?
Identify each country, the asset owner and any existing proceedings. Local bankruptcy does not answer every foreign enforcement question. Advice in the other relevant jurisdiction may be needed.
Prepare for the first discussion
Have recent accounts, bank statements, an overview of debts and assets, corporate records and legal notices ready. For the initial contact enquiry, explain whether you are a director, creditor or guarantor, what is overdue and whether a hearing or enforcement date has been set.
