Banking and finance advice in Curaçao

ZL Attorneys advises on commercial lending, acquisition and project finance, and real estate financing secured by mortgages. We help borrowers and businesses understand the obligations they are accepting, negotiate the documents and assess disputes when a financing relationship changes.

A bank's approval, the legal terms of a loan and the registration of security are separate issues. Starting with the proposed transaction and the documents makes it easier to identify which advice you need.

Before signing a loan or guarantee

A review should connect the term sheet with the full loan agreement, guarantees and security documents. Points to examine include:

  • Interest, fees, repayment dates and the circumstances in which pricing may change.
  • Financial promises, reporting requirements and restrictions on distributions or further borrowing.
  • Events of default, early repayment and the lender's rights if a payment is missed.
  • Which assets secure the debt and whether a director, shareholder or related company gives a guarantee.
  • The law and dispute-resolution provisions, particularly where a lender or asset is abroad.

Our financing work includes asset-based and operating loans, acquisitions, construction projects and joint ventures. For a business purchase or restructuring, we coordinate the financing issues with corporate law and contract advice.

Property finance and security

We assist with financing secured on commercial and residential property, including offices, hotels and development projects. The ownership records, existing security, valuation assumptions and proposed use of the property need to be considered together. Where notarial work or registration is required, the transaction must be coordinated with the appropriate professionals.

If enforcement is threatened, bring the demand, loan documents and any court papers promptly. A complaint to a bank should not be assumed to suspend a payment obligation or legal deadline.

Bank complaints and supervision

For a complaint about a supervised institution, the Centrale Bank van Curaçao en Sint Maarten's complaint guidance starts with the institution's own complaints procedure. Keep the complaint, its acknowledgement and the institution's response.

The CBCS explains that it does not generally mediate individual bank–customer disputes. Regulatory supervision and a claim for compensation serve different purposes. We can assess the contractual dispute and the appropriate next step; a report to the regulator is not a promise of recovery.

What to prepare

For an initial discussion, describe the financing amount, purpose, parties, countries involved and target date. Prepare the term sheet, current drafts, repayment schedule, proposed security and any notices already received. For an existing business, identify the person authorized to give instructions and the relevant ownership structure.

Use the contact form for a short outline. Do not include account passwords, bank login details or confidential financial documents in the initial message.

Questions clients ask

Can a lawyer guarantee that a bank will approve an account or loan?

No. The institution makes its own commercial and compliance decisions. Legal assistance can clarify the application and transaction documents, but cannot promise approval, pricing or a completion date.

Can you review a personal guarantee for a company loan?

Yes. Explain who will sign, which debt it covers and whether there are other guarantors. The wording, security and circumstances must be assessed before the guarantor's potential exposure can be explained.

What if the loan involves another country?

Tell us where the borrower, lender, guarantors and secured assets are located. More than one legal system may need to be considered, and advice from counsel in the other jurisdiction may be necessary.
